If you do not agree to these Terms, you must not access the Site, purchase a membership, or attend any Speaker Société events. Your continued use of the Site or continued membership after any modification to these Terms constitutes your acceptance of those changes.

Speaker Société is a membership-based in-person and online community operated by Dorworth Fit, LLC DBA Sunny Creator Co., a limited liability company organized and existing under the laws of the State of [Your State]. Speaker Société is designed for individuals seeking to develop their public speaking, presentation, and storytelling skills through community events, workshops, and networking experiences.

References to "Speaker Société," "the Company," "we," "us," or "our" in these Terms refer to Dorworth Fit, LLC DBA Sunny Creator Co. and its owners, officers, employees, agents, contractors, and representatives.

To become a Member, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction);
• Provide accurate, complete, and current registration information;
• Agree to and comply with these Terms in full;
• Pay all applicable membership fees as they become due.

Membership is personal and non-transferable. You may not share your membership access, login credentials, event tickets, or any other membership benefits with any third party. We reserve the right to refuse, suspend, or terminate membership to any individual at our sole discretion, including for violation of these Terms or our Code of Conduct.

Membership in Speaker Société does not create an employment, partnership, joint venture, agency, or franchise relationship between you and the Company.

Speaker Société offers monthly and annual membership plans (collectively, "Membership Plans"). Current pricing, plan features, and any promotional rates are described on the Site at the time of purchase and are subject to change with notice.

• Monthly Membership: Billed once per month on the anniversary of your enrollment date. Continues on a recurring basis until cancelled.
• Annual Membership: Billed once per year on the anniversary of your enrollment date. Continues on a recurring basis until cancelled.

By providing your payment information, you authorize us (or our third-party payment processor) to charge your payment method for all applicable fees. You are responsible for ensuring your payment information remains current and accurate. Failure to maintain valid payment information may result in suspension or termination of your membership.

All fees are stated in U.S. dollars. We reserve the right to modify membership fees at any time. We will provide advance notice of any fee changes, and your continued membership after the effective date of the change constitutes acceptance of the new fees.

You may cancel your membership at any time by contacting us at the information provided in Section 18 or through your account settings on the Site, if applicable. You must contact Stephanie by email 5 days prior to subscription renewal.

• Monthly Members: Cancellations take effect at the end of the current billing period. You will retain access to membership benefits through the end of the paid period. No partial-month refunds will be issued.
• Annual Members: Cancellations take effect at the end of the current annual billing period. No prorated refunds will be issued for unused months, except at our sole discretion in extraordinary circumstances.

All sales and membership fees are non-refundable unless otherwise required by applicable law or expressly stated in writing by the Company. Event tickets, add-on purchases, and any one-time fees are also non-refundable unless the event is cancelled by Speaker Société.

If Speaker Société cancels an event, Members who have paid for that specific event will receive a credit toward a future event or a refund at our discretion.

As a Member, you may be entitled to attend in-person events, workshops, meetups, and other gatherings organized by Speaker Société ("Events"). Attendance may be included in certain membership tiers or available at an additional cost.

• You agree to comply with all venue rules, local laws, and any instructions from Speaker Société staff, contractors, or venue representatives while attending Events.
• Speaker Société reserves the right to deny entry or remove any individual from an Event at any time and for any reason, including violation of our Code of Conduct, without refund.
• Speaker Société may change, reschedule, cancel, or modify any Event at its sole discretion. We will make reasonable efforts to provide advance notice but are not liable for any inconvenience or costs incurred as a result of such changes.
• You are responsible for your own transportation, lodging, meals, and any other personal costs associated with attending Events.
• You must not attend an Event if you are experiencing symptoms of illness, have tested positive for a communicable disease, or have been advised by a health professional to isolate or quarantine.

You acknowledge and agree that:

• In-person events involve activities including but not limited to public speaking, movement around event spaces, social interaction, and participation in group exercises or activities. Such activities carry inherent risks of physical injury, illness, property damage, or other harm.
• You are voluntarily choosing to participate in Speaker Société Events with full knowledge of these risks.
• You assume full and complete responsibility for any and all risks of bodily injury, death, property damage, or other loss arising from or related to your attendance at or participation in any Speaker Société Event, however caused, including but not limited to risks arising from the negligence of the Company, its officers, employees, agents, volunteers, contractors, or other participants.
• Speaker Société does not provide medical supervision, security, or emergency services at Events. You are responsible for your own health, safety, and wellbeing while attending.
• You represent that you are in good physical health and have no medical conditions that would prevent you from safely participating in Event activities. You agree to consult with a healthcare professional if you have any concerns about your ability to safely attend or participate.

RELEASE OF LIABILITY: To the fullest extent permitted by applicable law, you hereby release, discharge, and hold harmless Dorworth Fit, LLC DBA Sunny Creator Co., its members, managers, officers, employees, contractors, agents, volunteers, event venue owners and operators, and all other persons or entities acting on behalf of Speaker Société (collectively, "Released Parties") from any and all claims, demands, causes of action, damages, losses, costs, or expenses (including attorney's fees) arising out of or relating to your attendance at or participation in any Speaker Société Event, including claims resulting from the negligence of the Released Parties, to the fullest extent permitted by law.

You understand that this release and waiver is intended to be as broad and inclusive as permitted by law and that if any portion of it is held invalid, the remainder will continue in full legal force and effect.

By attending any Speaker Société Event, participating in the membership community, or otherwise engaging with Speaker Société, you acknowledge and agree that:

• Speaker Société and its authorized representatives may photograph, film, record, livestream, or otherwise capture your image, voice, likeness, statements, and performance at any Event or in connection with any Speaker Société activity ("Media Content").
• You hereby grant to Dorworth Fit, LLC DBA Sunny Creator Co. a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable, and transferable license to use, reproduce, distribute, display, publish, transmit, adapt, edit, and create derivative works from any Media Content in which you appear, for any purpose and in any medium now known or hereafter developed.
• Permitted uses of Media Content include but are not limited to: social media posts and campaigns (Instagram, Facebook, TikTok, YouTube, LinkedIn, Pinterest, and all other platforms), the Speaker Société website, email newsletters, print marketing materials, advertising and paid promotions, press releases, media pitches, podcast content, course materials, and any other marketing, promotional, or commercial purposes.
• You waive any right to inspect or approve the finished product, any advertising copy, or other material that may be used in connection with your likeness.
• You waive any right to royalties or other compensation arising from or related to the use of any Media Content.
• This release applies to all forms of media now known or created in the future.

If you do not wish to be photographed or filmed, it is your responsibility to notify a Speaker Société representative in writing prior to the start of any Event. While we will make reasonable efforts to accommodate such requests, we cannot guarantee that you will not appear in any background footage or wide-angle photography taken at Events. Opting out of media capture does not affect your membership or event access.

Speaker Société is committed to maintaining a welcoming, inclusive, and respectful community for all Members and guests. By participating in Speaker Société, you agree to:

• Treat all Members, guests, and staff with dignity and respect at all times;
• Refrain from any form of harassment, discrimination, intimidation, bullying, or threatening behavior;
• Not engage in any illegal activity at or in connection with any Event;
• Not record, photograph, or film other attendees without their consent;
• Not misrepresent your identity, credentials, or affiliation;
• Not solicit, spam, or engage in unsolicited commercial activity toward other Members;
• Not disrupt or interfere with any Event, speaker, or facilitator;
• Comply with all venue rules and instructions from Speaker Société staff.

Violations of this Code of Conduct may result in immediate removal from an Event, suspension, or permanent termination of your membership, at our sole discretion, without refund. We reserve the right to report illegal conduct to the appropriate authorities.

All content on the Speaker Société website and in connection with our Events, including but not limited to text, graphics, logos, photographs, videos, audio recordings, curriculum, frameworks, worksheets, slide decks, course materials, and any other materials (collectively, "Company Content"), is owned by or licensed to Dorworth Fit, LLC DBA Sunny Creator Co. and is protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

Your membership grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use Company Content for your own personal, non-commercial purposes only. You may not:

• Reproduce, copy, distribute, sell, sublicense, or commercially exploit any Company Content;
• Record, livestream, or rebroadcast any Event without prior written permission;
• Remove or alter any copyright, trademark, or other proprietary notices;
• Use any Company Content to train AI models, create competing products, or for any commercial purpose.

Any feedback, ideas, suggestions, or other submissions you provide to Speaker Société become the sole property of the Company. We may use such submissions for any purpose without obligation, attribution, or compensation to you.

By becoming a Member, you agree to receive communications from Speaker Société, including membership-related notices, event invitations, marketing emails, and community updates. You may opt out of marketing communications at any time by following the unsubscribe instructions in any email or by contacting us directly. Please note that transactional and membership-related communications cannot be opted out of while you remain a Member.

Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to our Privacy Policy.

You acknowledge that by participating in Events and community activities, other Members and guests may see your name, likeness, and any information you voluntarily share. You are responsible for managing the personal information you choose to share within the community.

NO PROFESSIONAL ADVICE: Speaker Société provides educational and community content for informational purposes only. Nothing provided by Speaker Société, its Members, speakers, coaches, or staff constitutes professional advice of any kind, including but not limited to legal, financial, medical, psychological, or business advice. You should not rely on any content presented at Events or through the membership as a substitute for qualified professional guidance.

NO GUARANTEE OF RESULTS: Speaker Société makes no representations or warranties regarding any specific results, outcomes, or benefits you may achieve through your membership or participation in Events. Individual results will vary and are not guaranteed.

"AS IS" BASIS: The Site and all membership services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DORWORTH FIT, LLC DBA SUNNY CREATOR CO., ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY OTHER DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, YOUR MEMBERSHIP, OR YOUR ATTENDANCE AT ANY EVENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, THE COMPANY'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR MEMBERSHIP SHALL NOT EXCEED THE TOTAL AMOUNT OF MEMBERSHIP FEES ACTUALLY PAID BY YOU TO THE COMPANY IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above will apply to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless Dorworth Fit, LLC DBA Sunny Creator Co., and its members, managers, officers, employees, agents, contractors, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:

• Your breach of these Terms or any applicable law or regulation;
• Your participation in any Speaker Société Event or use of membership services;
• Your negligent or wrongful conduct, or the conduct of any guest you bring to an Event;
• Any content or information you submit, post, or transmit in connection with Speaker Société;
• Any third-party claim related to your use of the membership or attendance at Events.

We reserve the right to assume exclusive control over the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or your membership shall be brought exclusively in the state or federal courts located in [Your County], [Your State], and you hereby consent to the personal jurisdiction of such courts.

We will use reasonable efforts to resolve the dispute within thirty (30) days of receiving your written notice.

Binding Arbitration: If informal resolution is unsuccessful, any unresolved dispute shall be submitted to binding arbitration in [Your County], [Your State], in accordance with the rules of the American Arbitration Association ("AAA") then in effect. The arbitration shall be conducted by a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will provide notice by updating the "Last Updated" date at the top of this page and, where appropriate, by sending an email to the address associated with your account or by posting a notice on the Site.

Your continued membership or participation in any Speaker Société Event following notice of a modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must cancel your membership prior to the effective date of the changes.

We also reserve the right to modify, suspend, or discontinue any aspect of the Speaker Société membership, website, or Events at any time, with or without notice, and without liability to you.
